1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and OnNumbers ("OnNumbers," "we," "us," or "our"). They govern your access to and use of https://onnumbers.com, our marketing materials, and — when you become a customer — our accounting services and AI-powered platform (collectively, the "Services").

By accessing our website, submitting a contact request, creating an account, or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

These policies apply to our public website and marketing communications. Customers who subscribe to OnNumbers accounting and platform services are also subject to a separate client services agreement presented at onboarding.

2. Description of services

OnNumbers provides outsourced accounting and bookkeeping services combined with a software platform that offers real-time visibility into financial close progress, AI-written summaries and assessments, reporting, vendor monitoring, and related tools.

The public website is for informational and sales purposes. Access to the production platform and delivery of accounting work require a signed or accepted client services agreement, statement of work, or order form ("Client Agreement") that may supplement these Terms with plan-specific terms, fees, and service levels.

If there is a conflict between these Terms and a Client Agreement for paid services, the Client Agreement controls for that customer relationship.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for businesses and business representatives, not personal or household consumer use unless expressly agreed in writing.

4. Accounts and security

Customers may receive platform credentials. You are responsible for maintaining the confidentiality of login information and for all activity under your account. Notify us promptly at hello@onnumbers.com if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain unpaid in accordance with your Client Agreement.

5. Fees, billing, and taxes

Pricing for accounting services is described on our website and confirmed in your Client Agreement. Fees are generally billed monthly or annually in advance unless otherwise stated. You are responsible for applicable taxes not expressly included in our fees.

Platform software modules included with service plans are provided at no additional license fee as described on our pricing page. Third-party integration fees charged by QuickBooks, Xero, banks, or other vendors are your responsibility.

Refunds, cancellation notice periods, and fee adjustments are governed by your Client Agreement. We may change published list prices for new customers; existing customers are typically subject to notice requirements in their Client Agreement.

6. Professional services disclaimer

OnNumbers provides accounting and bookkeeping services performed by qualified professionals subject to applicable standards. Unless expressly stated in a signed engagement letter:

• We do not provide legal advice.
• We do not provide investment advice.
• Tax positions and filings are prepared based on information you supply; you remain responsible for the accuracy and completeness of source documents and for final business decisions.
• Deliverables are not a substitute for your own review, board approval, or independent professional advice where appropriate.

You are responsible for maintaining internal controls, approving transactions where required, and responding promptly to requests for information, approvals, and missing documentation.

7. AI and automated features

The platform uses artificial intelligence for summaries, assessments, categorization suggestions, anomaly detection, work planning, and similar functions. AI outputs are probabilistic and may contain errors. OnNumbers designs workflows so that qualified accounting staff review material work, but you acknowledge that:

• AI-generated content is provided for visibility and efficiency, not as guaranteed advice.
• You should verify critical figures before making material business, tax, or financing decisions.
• We do not send personally identifiable information to third-party AI model providers; only encrypted, de-identified financial inputs (such as amounts, dates, and categories) are used for inference.
• We may improve models and workflows over time, which may change output style or format.

8. Acceptable use

You agree not to:

• Use the Services for unlawful, fraudulent, or deceptive purposes.
• Upload malware, attempt unauthorized access, probe or scan systems, or interfere with Service operation.
• Reverse engineer, decompile, or attempt to extract source code except where prohibited by law.
• Resell, sublicense, or provide access to the platform to third parties except authorized users within your organization.
• Use the Services to process data you do not have the right to share.
• Misrepresent your identity or affiliation.

We may investigate violations and cooperate with law enforcement where appropriate.

9. Your data and content

You retain ownership of financial records, documents, and other materials you submit or connect to the Services ("Client Data"). You grant OnNumbers a limited license to host, process, transmit, display, and use Client Data solely to provide and improve the Services, comply with law, and as described in our Privacy Policy.

You represent that you have obtained necessary rights and consents to share Client Data with us and our subprocessors, including employee and contractor data where applicable.

Upon termination, we will return or delete Client Data in accordance with your Client Agreement and applicable law, subject to backup retention and legal hold requirements.

10. Intellectual property

OnNumbers and its licensors own all rights in the platform, software, algorithms, user interface, documentation, trademarks, and website content, excluding Client Data. No rights are granted except as expressly stated in these Terms or your Client Agreement.

You receive a limited, non-exclusive, non-transferable right to access and use the platform during an active subscription for your internal business purposes. Feedback you provide may be used by us without restriction or compensation.

11. Third-party integrations

The Services may connect to third-party accounting, banking, payroll, or other systems at your direction. We are not responsible for third-party availability, accuracy, or terms. You authorize us to access integration data necessary to perform the Services and agree to comply with applicable third-party terms.

12. Service availability

We strive to keep the platform available and accurate but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, integration outages, and events beyond our reasonable control may cause downtime. Specific uptime commitments, if any, are stated in your Client Agreement.

13. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and disclose it only to personnel and contractors who need to know it, subject to confidentiality obligations. This section does not limit disclosures required by law or professional standards.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the fullest extent permitted.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ONNUMBERS NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100) FOR USE OF THE WEBSITE ALONE WITHOUT A PAID CLIENT AGREEMENT.

Your Client Agreement may specify different liability caps or carve-outs for paid services. Nothing in these Terms limits liability that cannot be limited under applicable law, including fraud or willful misconduct.

16. Indemnification

You will defend, indemnify, and hold harmless OnNumbers and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your Client Data or use of the Services in violation of these Terms; (b) your breach of law or third-party rights; or (c) disputes between you and your customers, employees, or vendors, except to the extent caused by our gross negligence or willful misconduct.

17. Term and termination

These Terms remain in effect while you use the website or Services. Either party may terminate a paid engagement as set forth in the Client Agreement. We may suspend or terminate website access immediately for violations of these Terms.

Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Subject to your Client Agreement, exclusive jurisdiction for disputes relating to these Terms or the website lies in the state and federal courts located in San Francisco County, California, and each party consents to personal jurisdiction there.

Before filing a claim, you agree to contact us at hello@onnumbers.com and attempt to resolve the dispute informally for at least thirty (30) days.

Class action waiver. To the extent permitted by law, disputes will be resolved only on an individual basis and not as a class, consolidated, or representative action.

19. Export and sanctions

You may not use the Services in violation of U.S. export control or sanctions laws. You represent that you are not located in, organized in, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and are not a prohibited party under applicable sanctions lists.

20. Changes to these terms

We may modify these Terms from time to time. We will post updated Terms on this page and update the effective date. Material changes to paid Services will be communicated in accordance with your Client Agreement or by email where required. Continued use after changes become effective constitutes acceptance, except where prohibited by law.

21. General

• Entire agreement — These Terms, the Privacy Policy, and any applicable Client Agreement constitute the entire agreement regarding the subject matter.
• Severability — If any provision is unenforceable, the remainder stays in effect.
• No waiver — Failure to enforce a provision is not a waiver.
• Assignment — You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of assets.
• Force majeure — We are not liable for delays or failures due to events beyond our reasonable control.
